Provider Agreement — Prime Tempr

This agreement describes the relationship between an approved yoga or wellness professional or studio ("Provider") and Prime Tempr ("Platform").

1. Onboarding and public information

You must provide accurate identity, credential, business, ownership, and contact information requested for your provider type. Prime Tempr may approve, decline, request evidence, correct obvious errors, or suspend a presence when needed for trust, safety, policy, or legal compliance.

You are responsible for keeping public information, availability, services, prices, qualifications, insurance, and external booking terms accurate.

2. Content and intellectual property

You retain ownership of content and business material you submit. You confirm that you have the necessary rights, music licences, releases, and permissions. You grant Prime Tempr a non-exclusive, worldwide licence to host, display, format, and promote the material through the service while your presence is active, plus a reasonable period required for backups, legal obligations, and orderly removal.

Prime Tempr may refuse or remove unsafe, deceptive, unlawful, infringing, or poorly attributed material.

3. Plans, fees and customer ownership

Creating or claiming a public business profile is free. Pro and Growth offer an optional 14-day trial that you activate when your workspace is ready. Creating an account or claiming a profile does not start the trial. No card is required, and trial access never creates an automatic charge.

Where paid checkout is available, explicitly choose your plan and complete Dodo Payments checkout to continue. Dodo Payments is the merchant of record for software subscriptions. The price, tax and renewal schedule are shown before payment. Paid subscriptions renew until cancelled through Manage billing. Confirmed cancellation retains access until the current paid period ends.

Fees are generally non-refundable for change of mind or unused time, except where required by law or Dodo Payments’ applicable terms. See our Refund and Cancellation Policy. Your Free profile and saved records remain when paid access ends. See Pricing for current features and availability.

You collect student payments directly and can record their status in the workspace. Prime Tempr does not currently collect student payments online.

Customers you source through your own referrals, audience, website, social channels, or direct relationships remain provider-sourced and carry no Prime Tempr marketplace commission. If Prime Tempr later charges for demand demonstrably generated by its discovery system, that fee must be separately disclosed, capped, attributed, and accepted before the relevant transaction.

4. Enquiries, bookings, and service delivery

You are responsible for responding to requests, confirming bookings, delivering services, communicating changes, and applying fair cancellation and refund terms. Payments arranged with clients occur outside Prime Tempr and remain your responsibility.

External meeting, calendar, payment, messaging, and venue services are governed by their own terms. Do not present an unconfirmed request as a confirmed booking.

5. Wellness, safety, and professional responsibility

You must work within your qualifications and applicable law. Do not use Prime Tempr to make deceptive medical claims, diagnose beyond your legal scope, or deliver unsafe or prohibited services. Maintain any licences, insurance, waivers, safeguarding procedures, and emergency practices required for your work and location.

6. Client data and communications

Use client and contact data only for a lawful, stated purpose. Respect consent, unsubscribe, correction, export, and deletion obligations. Do not upload bought lists or send marketing without an appropriate legal basis. You may export data made available through your provider tools, subject to security and the rights of the people represented in it.

7. Non-exclusivity

You are an independent provider, not a Prime Tempr employee or agent. You may work elsewhere and use other tools. You remain responsible for your taxes, business registrations, staff, subcontractors, and service delivery.

8. Suspension and termination

You may request deactivation through the provider workspace or support. Prime Tempr may restrict or terminate access for material policy breach, fraud, misrepresentation, safety risk, unlawful conduct, or prolonged failure to resolve serious client issues. We will preserve required audit and legal records and provide available export or transition controls where appropriate.

9. Future commerce

Student payment collection, provider payouts and marketplace-attribution fees remain gated capabilities, separate from software subscription billing. Before activation, Prime Tempr will publish the applicable commercial terms, supported countries, payment provider, settlement timing, reserves, and dispute process. Test or dormant payment infrastructure creates no present obligation to process money.
