Trainer Agreement — Prime Tempr

This agreement covers the relationship between independent yoga trainers ("Trainer") and Prime Tempr ("Platform"). It applies once a trainer is approved and onboarded.

1. Trainer onboarding

To become a Prime Tempr trainer you must:

• Complete the application form
• Submit credentials, ID verification, and a short sample of your teaching
• Be approved by Prime Tempr's admin team (review usually takes 3–7 business days)

Prime Tempr reserves the right to decline applications at its discretion.

2. Content and intellectual property

• You retain ownership of all content you upload (videos, written material, live-class plans).
• You grant Prime Tempr a non-exclusive, worldwide, royalty-free license to host, display, stream, and promote your content through the Prime Tempr platform and its marketing materials, for as long as your Trainer account is active and for 90 days thereafter.
• You are responsible for ensuring you have all rights (music licenses, likeness releases, etc.) in content you upload.

3. Pricing and subscriptions

You set the prices and plan durations (1 / 3 / 6 / 12 months) for your trainer subscription. Minimum billing period is 1 month.

Platform commission: Prime Tempr retains 15% of each marketplace transaction. Your 85% trainer share is calculated before separately itemized payment processing, taxes, refunds, chargebacks, reserves, and legally required adjustments.

Prime Tempr Studio is an optional Prime Tempr business service. Studio fees and usage credits are separate from marketplace commission and do not change the ownership of your content or customer relationships.

4. Live classes

You may host live classes using external tools (Zoom, Google Meet, etc.). You are responsible for the external tool's compliance with applicable laws.

Prime Tempr handles scheduling, reminder emails, and access control for subscribed users.

5. Content moderation

All content you upload is subject to Prime Tempr admin review before going live. Prime Tempr may:

• Refuse to publish content that violates community guidelines (unsafe practices, misleading medical claims, infringing material)
• Remove published content that subsequently violates guidelines
• Suspend your account for material or repeated violations

6. Payouts

Marketplace onboarding and eligible payouts use the connected marketplace payment provider, currently planned as Stripe Connect for production. Timing, availability, reserves, and supported payout methods depend on account verification, country, risk review, and the provider's terms. Prime Tempr Studio subscriptions may use a separate merchant-of-record provider such as Dodo Payments.

7. Refunds and chargebacks

Refunds under Prime Tempr's Refund Policy are deducted from your pending balance. If the user's refund is due to defective or misrepresented content you uploaded, the full refund (including the 15% Prime Tempr commission) is recovered from your balance.

Chargebacks are treated the same as refunds, plus a $15 processing fee deducted from your balance per chargeback.

8. Storefront customization

Prime Tempr provides a storefront based on your business type. You may manage routine facts, offers, schedules, media, and simple text through available controls. Major layout or brand changes may be handled by Prime Tempr's admin team through a reviewed change request. You may not inject custom code or remove required platform, safety, payment, or legal disclosures.

9. Non-exclusivity and outside work

You are an independent contractor, not a Prime Tempr employee. You are free to teach on other platforms or host your own classes outside Prime Tempr.

10. Termination

You may deactivate your Trainer account at any time via your dashboard or by emailing trainer-support@primetempr.com. Prime Tempr may terminate the agreement for material breach (content violations, fraud, prolonged inactivity, etc.).

On termination:

• Your storefront goes offline
• Subscribers are notified and refunded for unused time (per refund policy)
• Your pending balance is paid out within 30 days
• Your content license ends 90 days after termination (allowing time to archive)

11. Assignment

Prime Tempr may assign this agreement to a successor entity when it incorporates, without further notice. You may not assign this agreement without Prime Tempr's written consent.

12. Governing law and disputes

Same as the Terms of Service. Disputes are resolved in the forum of Prime Tempr's jurisdiction at the time of dispute.
